Dos Equis® Most Interesting Man Assistant Search

TERMS & CONDITIONS

  1. Services. When requested by G2 Worldwide Inc ("Agency"), in its capacity as agent for its client, Heineken USA Incorporated d/b/a Cervezas Mexicanas ("Heineken USA"), the selected individual ("Service Provider") will provide the following services: media interviews, personal appearances (including attendance at Dos Equis® promotional events), inclusion in a Dos Equis® commercial, use of image on Dos Equis® point-of-sale and other advertising material in support of the Dos Equis® Most Interesting Man advertising campaign. Substantial travel required; each travel assignment may last up to 4 days. Valid government-issued photo identification a must. Attendance at informational sessions regarding Dos Equis® and the Dos Equis® Most Interesting Man advertising campaign required. Must be available, on short notice, upon request. Services to be rendered between December 9, 2008 and December 31, 2009.

  2. Payment for Position. Up to $18,000 plus pre-approved travel and related expenses.

  3. Eligibility. Must be legal U.S. resident, 25 or over and must reasonably appear to be over 21, in accordance with The Beer Institute's Advertising and Marketing Code. No prior experience in advertising/marketing/public relations industry or knowledge of malt beverages necessary. Post-secondary school education strongly preferred. Applications will NOT be accepted from persons in any of the following categories: (a) employees, officers, directors of an alcohol beverage licensee or persons with a financial interest in an alcohol beverage licensee, including but not limited to licensed retailers, distributors, importers or manufacturers of alcohol beverages; (b) current or former employees, officers or directors of any promotion marketing, advertising or public relations agency (including but not limited to any agencies that are indirect or direct competitors of G2 Worldwide Inc); (c) employees, officers, directors, agents, principals and persons otherwise associated with employment firms, placement services, job banks, recruiters or other human resources organizations; (d) professional models or actors (defined as persons who have received any award or other compensation for their modeling/acting) and professors, teachers and coaches of modeling/acting. Applicant must have full right, power and authority to submit application (and, if application is accepted, to perform duties of the position), such that his/her submission of application (and, if application is accepted, performance of duties of the position) will not result in the violation of the rights of any third party.

  4. Application Period. Applications will be accepted from 4/24/2008 at 12:00:01 a.m. ET to 10/26/2008 at 11:59:59 p.m. ET. However, application deadline may be extended in G2 Worldwide Inc.'s sole discretion; if so extended, notification of such change and the revised deadline will be posted on www.staythirstymyfriends.com/jobs.

  5. Application Procedure. Applications will ONLY be accepted on-line (with the possible exception of photos, as per step (C) below). Application must be submitted entirely by an individual him/herself; submission of an application on someone else's behalf (i.e., as a proxy) is prohibited. Go to www.staythirstymyfriends.com/jobs. To complete the application: (A) Provide the required identifying information: your email address (required); telephone number; first and last initial; date of birth; city, state and zip code. All information must be factually accurate. Check the box indicating that you have read, fully understand and agree to these Terms & Conditions; if this box is not checked, your application will NOT be accepted and will NOT be considered. "G2 WORLDWIDE INC" AND HEINEKEN USA ALSO ADVISE YOU TO REVIEW THE WEB SITE'S PRIVACY POLICY BEFORE PROVIDING ANY PERSONAL INFORMATION ON APPLICATION. (B) Answer Questions-- Dossier. Answer all questions truthfully, to the best of your knowledge and belief. Answers (and content in support of answers) should elaborate upon your talents and aptitude for the position of Dos Equis® Most Interesting Man Assistant: why are you the best Service Provider for this position? Answers must fit within the designated fields of application and cannot be supplemented by additional materials/information. Your answers must be solely your original work product; do NOT copy the work of others. Questions include relevant previous work experience and a list of references. G2 Worldwide Inc. may contact one or more of your references without your consent. (C) Upload or Mail-In Photo of Yourself. A photo must be submitted as part of your application; applications without photos will NOT be considered. Whether your photo is posted on the web site for public viewing is entirely up to you. If you wish your photo to be posted, upload the photo to the web site. IF YOU DO NOT WISH YOUR PHOTO TO BE SEEN BY THE PUBLIC, DO NOT UPLOAD THE PHOTO. INSTEAD, SUBMIT PHOTO VIA MAIL TO: G2 WORLDWIDE INC, ATTN: DOS EQUIS MIM ASSISTANT SEARCH, 747 THIRD AVENUE, 2ND FLR, NEW YORK, NY 10017. Photo must be taken within the last year and should express your personality and character. G2 Worldwide Inc. will evaluate photos to determine whether applicant reasonably appears to be over the age of 21, in compliance with The Beer Institute's Advertising and Marketing Code. Photo must not include any persons other than yourself. Photo must not include any trademark, trade name or other property not owned or controlled by you. If uploaded, photo should not be accompanied by sound or graphics and must meet the following technical specifications: the image must be in either JPG or GIF format, with a maximum size of 100kb. If submitted via mail, photo should not be accompanied by any commentary and must be in color and no larger than 8.5' x 11'. If submitted via mail, be sure to package photo carefully so that it is not damaged in transit.

  6. Posting of Application. Upon completion of steps (A) and (B), application will be posted on web site. And, only if applicant uploads his/her photo as per step (C), will photo component of application be posted on web site. Posted applications will be displayed on the web site for public viewing/analysis. G2 Worldwide Inc. and Heineken USA, in their sole discretion, may determine the order, pattern, sequence, rotation and/or prominence of posted applications and may append commentary to posted applications. In submitting application, applicant grants G2 Worldwide Inc. and Heineken USA, without compensation or further notice of any kind, the perpetual, irrevocable, royalty-free, nonexclusive right (including moral rights) and license to post his/her application (including his/her photo only if applicant has uploaded same and except for applicant's email address and telephone number; in all cases, applicant's email address and telephone number will be kept confidential and if photo is submitted via mail it too will be kept confidential) on the web site as well as all rights to use, perform, exhibit, reproduce, manufacture, construct, make derivative works from or otherwise exploit the application (in whole or in part) in any manner and in any and all media now known or hereafter devised. Applicant further agrees, without compensation and upon G2 Worldwide Inc. and Heineken USA's request, to complete, sign and return any additional documentation that may be required by G2 Worldwide Inc. and/or Heineken USA relative to such grant of rights. EXCEPT WHERE EXPRESSLY INDICATED OTHERWISE, APPLICATIONS WILL NOT BE HELD IN CONFIDENCE. IF YOU DO NOT WISH YOUR INTEREST IN POSITION AND APPLICATION (EXCEPT WHERE EXPRESSLY INDICATED OTHERWISE HEREIN) TO BE MADE PUBLIC AND/OR DO NOT WISH TO GRANT G2 WORLDWIDE INC. AND HEINEKEN USA THE RIGHT TO POST YOUR APPLICATION ON THE WEB SITE (AND RELATED RIGHTS), DO NOT SUBMIT AN APPLICATION. At all times and without notice or liability of any kind, G2 Worldwide Inc. and Heineken USA retain the right to remove an application due to violation of these Terms & Conditions (including but not limited to the Content Guidelines as discussed below), as determined by G2 Worldwide Inc. and Heineken USA in their sole discretion. G2 Worldwide Inc. and Heineken USA act as a passive conduit for the online display, transmission, and distribution of applications and have no obligation to and expressly disclaim any and all responsibility for (and liability in conjunction with) screening, monitoring, or reviewing applications (or the content of same). Notwithstanding the foregoing, if G2 Worldwide Inc. or Heineken USA or their agencies are notified by a web site user that an application posted on the web site does not conform to these Terms & Conditions (including but not limited to the Content Guidelines), G2 Worldwide Inc. and Heineken USA and their agencies may (or may not) investigate the application in question and take whatever actions (or no action whatsoever) as G2 Worldwide Inc. and Heineken USA see fit in their sole discretion without liability, responsibility or obligation of any kind.

  7. Application: Content Guidelines. Application must comply with the Content Guidelines set forth herein. The Content Guidelines are for purposes of illustration only and G2 Worldwide Inc. may reject applications which are otherwise deemed inappropriate and/or not in full compliance with these Terms & Conditions in its sole discretion. Applications will be rejected if they contain any of the following materials (also referred to as "scenarios"):

  8. (a) Material that violates the rights of publicity, privacy, trademark, or copyright of any third party;
    (b) Material that is libelous, slanderous, abusive, hateful, defamatory or unfit for publication;
    (c) Material intended to promote a commercial/business enterprise, a charity, political, religious (or other) cause;
    (d) Scenarios portraying underage drinking, alcoholism/alcohol abuse or drunk driving;
    (e) Scenarios depicting situations where beer is being consumed rapidly, excessively, involuntarily, as part of a drinking game, or as a result of a dare. Scenarios depicting situations where beer is consumed in an irresponsible fashion;
    (f) Scenarios portraying persons lacking control over their behavior, movement, or speech as a result of consuming beer or in any way suggesting that such conduct is acceptable;
    (g) Scenarios portraying or implying illegal activity of any kind by a potential Service Provider or any other individual;
    (h) Scenarios portraying beer drinking before or during activities, which for safety reasons, require a high degree of alertness or coordination.
    (i) Scenarios depicting specific retail outlets (where beer is served or sold) or identifying retail outlets by name or otherwise; scenarios depicting retail outlets as unkempt or unmanaged;
    (j) Materials appealing primarily to persons under the legal drinking age including Santa Claus, cartoon characters, language and symbols;
    (k) Language or images that are lewd or indecent; scenarios portraying sexually explicit activity as a result of consuming beer; language or imagery depicting or containing graphic nudity;
    (l) Language or imagery that employs religion or religious themes;
    (m) Scenarios portraying consumption of beer as being important to education or directly or indirectly degrading studying;
    (n) Language or imagery that suggests that beer is needed for social, financial, educational or athletic success.

  9. Selection of Service Provider. G2 Worldwide Inc. will select the Service Provider for the position of Dos Equis® Most Interesting Man Assistant based on all eligible applications received. G2 Worldwide Inc. anticipates such selection will be made in December 2008. G2 Worldwide Inc. may solicit input from third party consultants and others in selecting Service Provider. It is the sole responsibility of Service Provider to make arrangements with his/her employer and obtain any and all necessary permissions, as appropriate, so that he/she can accept position and perform the duties of the position. Service Provider must complete, sign and return a Services Agreement; Service Provider will not receive any compensation in conjunction with completion/signing/return of Services Agreement. If (potential) Service Provider fails to return the completed, signed Services Agreement within indicated time period, G2 Worldwide Inc. reserves the right to rescind offer of position and will have no liability or obligation to such Service Provider. In the event of any inconsistency between these Terms & Conditions and the Services Agreement, the Services Agreement will prevail, govern and control. Service Provider (after completion/signing/return of Services Agreement) will NOT be an employee of G2 Worldwide Inc. or of Heineken USA. The Service Provider will instead be an independent contractor, and will NOT be entering into any of the following relationships (either expressly or impliedly) with G2 Worldwide Inc. or Heineken USA: employer-employee, principal-agent or master-servant. Service Provider agrees to be solely responsible for payment of all taxes and statutory payments for compensation received under the Services Agreement and is not entitled to any other payment or benefits from G2 Worldwide Inc. or Heineken USA.

  10. Limitations on Liability. Neither G2 Worldwide Inc. nor Heineken USA (including their agencies) are responsible for lost, late, incomplete, stolen, misdirected or illegible applications, photos or email; postage due mail; or for any computer, telephone, satellite, cable, network, electronic or Internet hardware or software malfunctions, failures, connections, or availability, or garbled, corrupt or jumbled transmissions, service provider/Internet/website/use net accessibility, availability, or traffic congestion, or any technical error, or unauthorized human intervention, or the incorrect or inaccurate capture of application, photo or other information/data, or the failure to capture, or loss of, any such information/data. Neither G2 Worldwide Inc. nor Heineken USA (including their agencies) are responsible for any incorrect or inaccurate information/data, whether caused by web site users, tampering, hacking, or by any equipment or programming associated with the Assistant Search and assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, technical error, theft or destruction or unauthorized access to the web site. G2 Worldwide Inc. will reject the application of any individual that G2 Worldwide Inc. determines, in its sole discretion, (a) to be attempting to tamper or tampering with the application process or the operation of the Assistant Search or web site; (b) to be attempting to perpetrate a fraud or perpetrating a fraud on G2 Worldwide Inc. (including but not limited to the knowing inclusion of false information in his/her application); or (c) to be acting otherwise in violation of these Terms & Conditions (including but not limited Section 2, Eligibility). In such event, in addition to rejection of such individual's application, G2 Worldwide Inc. reserves the right to take any and all measures deemed necessary and appropriate so as to protect its rights. Neither G2 Worldwide Inc. nor Heineken USA (including their agencies) are responsible for injury or damage to applicants'/prospective applicants'/web site users' or to any other person's computer (or information/data stored therein) related to or resulting from submission of an application or other use of the web site. IN NO EVENT WILL G2 WORLDWIDE INC., HEINEKEN USA, THEIR RESPECTIVE PARENTS, AFFILIATES, SUBSIDIARIES AND RELATED COMPANIES, THEIR ADVERTISING OR PROMOTION AGENCIES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR PARTICIPATION IN THE ASSISTANT SEARCH OR ACCESS TO AND USE OF THE WEB SITE, DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SAID SITE. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THIS SITE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.

  11. Release of Liability. G2 Worldwide Inc. and Heineken USA and all of their respective officers, directors, employees, representatives, shareholders and agents will have no liability whatsoever for, and shall be indemnified and held harmless by participants against, any liability for any injuries, losses or damages of any kind to person(s) or property damage, resulting in whole or in part, directly or indirectly, from participation in the Assistant Search, the provision of Services and/or use of the web site.

  12. WAIVER OF JURY TRIAL/DISPUTE RESOLUTION/CHOICE OF LAW: To the fullest extent permitted by law, applicants/prospective applicants/web site users agree that: (a) any and all disputes, claims, and causes of action arising out of or connected with the Assistant Search shall be resolved individually, without resort to any form of class action, and exclusively by an action in state or federal court located in the State of Connecticut and, any right to a trial by jury, and a trial by jury, is waived, and (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in the Assistant Search but in no event attorneys' fees; and (c) under no circumstances will applicants/prospective applicants/web site users be permitted to obtain awards for and hereby waive all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms & Conditions, or the rights and obligations of applicants/prospective applicants/web site users and/or G2 Worldwide Inc., Heineken USA and their agencies in connection with the Assistant Search, shall be governed by, and construed in accordance with, the laws of the State of Connecticut without regard for conflicts of law doctrine of any jurisdiction. Should any term of this Section 11 be determined by a court of competent jurisdiction to be void, unenforceable or contrary to law, such term or provision shall, but only to the extent necessary to bring this Section 11 within the requirements of law, be deemed to be severed from the other terms and provisions hereof, and the remainder of these Terms & Conditions shall be given effect as if it had not included the severed term herein.
